開発経済学会会則

　　　　　　　　　　　　　　　　　第1章 総則
（名称）
第1条 　本学会は、開発経済学会と称する。
　　2　 本学会の英語名は、Japanese Association for Development Economics と表記し、略称をJADEとする。

　　　　　　　　　　　　　　　　　第2章 目的及び事業

第2条 本学会は、開発経済学の研究に関する交流を行い、わが国の開発経済学及びその関連分野の研究・教育の発展に寄与することを目的とする。

（事業）
第3条 本学会は、前条の目的を達成するため、次の事業を行う。
（1） 研究会及び大会の開催
（2） 内外の学会その他関係機関との連絡及び協力
（3） その他本学会の目的を達成するために必要な事業

（事業年度）
第4条　本学会の事業年度は、毎年10月1日に始まり、翌年9月30日に終わる。

　　　　　　　　　　　　　　　　　第3章 会員

第5条 　本学会に次の会員を置く。
（1） 正会員　本学会の目的に賛同して入会し、その活動に参加する個人
（2） 学生会員　大学院生若しくはそれに準ずる者であって、本学会の目的に賛同して入会した個人
（3） 賛助会員　本学会の目的に賛同して入会し、その活動を賛助する団体

（入会）
第６条　会員として入会を希望する者は、所定の入会申込書を会長に提出し、理事会の承認を受けなければならない。

（会費）
第７条　正会員・賛助会員は、本学会の運営及び事業の実施に要する経費を負担するため、総会で定める規定に基づき、会費を負担しなければならない。学生会員については会費を免除する。

（会員の資格喪失）
第８条　会員が次の各号の一に該当する場合には、その資格を喪失する。
（１） 退会したとき。
（２） 死亡し、若しくは失踪宣告を受け、又は会員である団体が解散したとき。
（３） 正会員・賛助会員が３年以上、会費を滞納したとき。
（４） 除名されたとき。
（５） 学生会員が学生でなくなったとき。
　　2　資格を喪失した正会員が理事の場合、同時に理事の資格も喪失する。

（除名）
第9条　会員が次の各号の一に該当する場合には、総会において、出席者の3分の2以上の多数による決議により、これを除名することができる。この場合、その会員に対し、その総会の日から1週間前までにその旨を通知し、かつ、その総会において決議の前に弁明する機会を与えなければならない。
（１） 本学会の会則その他の規則に違反したとき
（２） 本学会の名誉を傷つけ、又は目的に反する行為をしたとき
（３） その他除名すべき正当な事由があるとき
　　2　前項の規定により会員を除名した場合は、会長はその会員に対して、通知しなければならない。

（会員資格喪失に伴う権利及び義務）
第10条　会員が第8条の規定によりその資格を喪失したときは、この学会に対する権利を失い、義務を免れる。但し、未履行の義務は、これを免れることは出来ない。
　　 2　本学会は、会員がその資格を喪失しても、すでに納入した会費及びその他の金銭は、これを返還しない。

　　　　　　　　　　　　　　　　　第4章 総会

（構成）
第11条　総会は、全ての会員をもって構成する。
　　 2　正会員だけが総会における議決権を持つ。

（権限）
第12条　総会は、つぎの事項について決議する。
（１） 会費の規定
（２） 会員の除名
（３） 理事及び監事（以下「役員」という）の選任及び解任
（４） 会則の変更
（５） その他総会で決議するものとしてこの会則で定められた事項

（開催）
第13条　総会は、少なくとも毎年1回開催する。
　　 2　総会の審議を、電子メールを利用して行うことができる。

（招集）
第14条　総会は、理事会の決議により会長が招集する。

（議長）
第15条　総会の議長は、会長がこれに当たる。
　　 2　会長が欠けたとき又は会長に事故があるときは、副会長が総会の議長となる。

（決議）
第16条　総会の決議は、出席した正会員の議決権の過半数をもって行う。
　　 2　前項の規定にかかわらず、次の決議は、出席した正会員の議決権の3分の2以上の多数をもって行わなければならない。
（１） 会員の除名
（２） 監事の解任
（３） 会則の変更
（４） 解散

（議事録）
第17条　総会の議事については、議事録を作成する。

　　　　　　　　　　　　　　　　　第5章 役員

（役員の設置）
第18条　本学会に、次の役員を置く。
　　　　　理事：8名以上12名以内
　　　　　監事：2名以内
　　 2　理事のうち1名を会長とし、会長以外の理事のうち1名を副会長とし、会長及び副会長以外の理事を常任理事とする。

（役員の選任）
第19条　理事及び監事は、正会員の中から、総会の決議によって選任する。
　　 2　会長及び副会長は、理事の中から、理事会の決議によって選定する。
　　 3　監事は、理事を兼ねることができない。

（理事の職務及び権限）
第20条　理事は、理事会を構成し、この会則で定めるところにより、本学会の業務の執行を決定する。
　　 2　会長は、この会則で定めるところにより、本学会を代表し、その業務を執行する。
　　 3　副会長及び常任理事は、会長を補佐し、本学会の日常の業務を執行する。
（監事の職務及び権限）
第21条　監事は、次に掲げる職務を行う。
（１） 理事の職務の遂行を監査し監査報告を作成すること。
（２） 本学会の業務及び会計の状況を監査すること。
（３） 理事会に出席し、必要があると認めるときは、意見を述べること。
（４） 理事が不正行為を行い、若しくは当該行為を行う恐れがあるときは、遅滞なくその旨を総会または理事会に報告すること。

（任期）
第22条　理事の任期は、選任後3年以内に終了する事業年度のうち最終のものに関する定時総会の終結の時までとする。但し、再任を妨げない。
　　2　 監事の任期は、選任後3年以内に終了する事業年度のうち最終のものに関する定時総会の終結の時までとする。但し、再任を妨げない。
　　3　 補欠または増員により選任された理事の任期は、前任者または現任者の残任期間とする。補欠により選任された監事の任期は、前任者の残任期間とする。

（役員の報酬）
第23条　役員は無報酬とする。
　　2　 役員には、その職務を執行するために要する費用を弁償することができる。
　　3 　前項に関し必要な事項は、総会の決議をもって定める。

　　　　　　　　　　　　　　　　　 第6章 理事会

（構成）
第24条　本学会に理事会を置く。
　　 2　理事会はすべての理事をもって構成する。

（権限）
第25条　理事会は、次の職務を行う。
（１） 収支報告書の作成
（２） 本学会の業務執行の決定
（３） 理事の職務の執行の監督
（４） 会長及び副会長の選定及び解職

（招集）
第26条　理事会は、会長が招集する。
　　 2　会長が欠けたとき又は会長に事故があるときは、各理事が理事会を招集する。
　　 3　前項に関わらず、会長以外の理事は、会長に対し、理事会の目的である事項を示して、理事会の招集を請求することができる。
　　 4　会長は、前項の請求があったときは、その請求があった日から2週間以内に理事会を招集しなければならない。
　　 5　理事会を招集する場合には、各理事及び各監事に対し、会議の日時、場所又は方法、目的及び審議事項を記載した書面又は電子メールをもって、開催日の1週間前までに通知しなければならない。但し、緊急の場合には、この期間を短縮することができる。
　　 6　前項の規定にかかわらず。理事及び監事の全員の同意があるときは、招集の手続きを経ることなく理事会を開催することができる。

（議長）
第27条　理事会の議長は、会長がこれに当たる。
　　 2　会長が欠けたとき又は会長に事故があるときは、出席理事の中から互選により議長を選任する。

（決議）
第28条　理事会の決議は、決議について特別の利害関係を有する理事を除く理事の過半数をもって決する。
　　 2　理事会の審議を、電子メールを利用して行うことができる。

（議事録）
第29条　理事会の議事については、議事録を作成する。 　　　

　　　　　　　　　　　　　　　　　第7章 委員会の設置

第30条　本学会の事業を推進するために、理事会は大会のためのプログラム委員会を設置することができる。
　　 2　委員会の委員は、正会員の中から理事会が選任する。
　　 3　委員会に関して必要な規則は、理事会の決議により別に定める。

附則
この会則は､2019年3月1日から施行する。

Bylaw of the Japanese Association for Develoment Economics

　　　　　　　　　　　　　　　Chapter 1 General

Article 1: This association is called the Japanese Association for Development Economics, or JADE for short.

　　　　　　　　　　　　　　　Chapter 2 Mission and Main Activities

Article 2: The mission of the JADE is to facilitate communication about research on development economics among researchers interested in this field, so as to improve the quality of research and thereby contribute to the progress in both research and education on development economics in Japan.

Article 3: To fulfill the mission stated above, the JADE (1) organizes research meetings, workshops, and conferences, (2) collaborates with other research organizations interested in development economics research, and (3) carries out other activities conducive to its mission.

Article 4: Our fiscal year begins on October 1 and ends on September 30 every year.

　　　　　　　　　　　　　　　 Chapter 3 Membership

Article 5: The JADE has the following three categories of members: (1) Regular members, who are willing to participate in activities of the JADE; (2) Student members, who are students and willing to participate in activities of the JADE; and (3) Supporting members, who are organizations and willing to support activities of the JADE.

Article 6: To become a member of the JADE, one must submit the application form to its president and receive official approval from the governing board.

Article 7: To support activities of the JADE, regular members and supporting members must pay membership fees, whose amount shall be determined at the general meeting. Student members are exempted from membership fee payment.

Article 8: Membership will be forfeited, if regular member or supporting member does not pay membership fee for three consecutive years and when student member ceases to be a student.

Article 9: Those who offend the regulation and reputation of the JADE will lose membership if two-thirds of participants in the general meeting recommend the dismissal.

Article 10: Those who have lost memberships in accordance with Article 8 lose all rights related to the JADE and exempts from duties. Yet, they can neither be exempted from unfulfilled duties nor claim to get back membership fees already paid.

　　　　　　　　　　　　　　　Chapter 4 General Meeting

Article 11: While all members of the JADE can attend the general meetings, only regular members possess rights to vote.

Article 12: The purposes of the general meeting are to resolve the following issues: (1) determination of the amount of membership fees, (2) expulsion of members, (3) appointment and dismissal of directors and auditors, and (4) change in the bylaw of the Association.

Article 13: General meeting must be held at least once a year. It is permissible to use e-mails for deliberation of the general meeting.

Article 14: The president convenes the general meeting upon decision of the governing board.

Article 15: The president chairs the general meeting, although the vice-president may do so in the absence of the president.

Article 16: The decision of the general meeting is made based on the absolute majority of those regular members who attend the meeting, except for the following issues which need two-thirds of votes of regular members who attend the meeting, i.e., (1) expulsion of the member, (2) dismissal of auditor, (3) change in the bylaw of the JADE, and (4) the dissolution of the JADE. Article 17: Minute of the general meeting must be prepared.

　　　　　　　　　　　　　　　　Chapter 5 Executive Members

Article 18: There are 8 to 12 directors and at most two auditors in the JADE. The president and the vice-president shall be selected from the directors.

Article 19: While the directors and the auditors are selected by the decision of the general meeting, the president and the vice-president are selected by the decision of the governing board meeting. An auditor cannot be a director simultaneously.

Article 20：The governing board, consisting of directors, will determine the activities of the JADE in accordance with this bylaw, whereas the president will represent the JADE and execute its activities, supported by the vice-president and the other directors.

Article 21: The auditor shall (1) inspect activities of the directors and prepare an audit report, (2) audit activities of the JADE and its financial account, (3) attend the governing board meeting and express views and opinions, when necessary, and (4) report misconduct or fear of misconduct to the general meeting and the governing board meeting immediately.

Article 22: The term of appointment of directors is three years. Reselection, however, is possible. Similarly, the term of appointment of auditor is three years. Reselection, however, is possible. Substituted director’s or auditor’s term of appointment is the remaining period of those who have been substituted.

Article 23: No payment shall be made for the service of the executive members. Yet, cost of carrying out duties of the JADE will be compensated for.

　　　　　　　　　　　　　　　　Chapter 6 Governing Board

Article 24: The JADE has the governing board consisting of directors.

Article 25: The governing board shall (1) prepare written settlement of account, (2) determine activities of the JADE, (3) supervise directors’ performance of duties, and (4) selection of the president and the vice-president and dismissal thereof.

Article 26: The president, or the vice-president in the absence of president, shall convene the governing board meeting, even though the other directors can request call of the governing board meeting to the president. In the latter case, the president must convene the meeting in two weeks after receiving such request. The president must inform to the directors and the auditors place, time, purpose, and agenda of board meeting in writing or by e-mail, at least one week in advance.

Article 27: The president shall chair the governing board meeting, although chair may be chosen form the attending directors in the absence of the president.

Article 28: Determination of the governing board meeting is based on absolute majority of directors, after omitting those directors who have conflict of interests. The governing board meeting can be held by using e-mails.

Article 29: Minute of governing board meeting must be prepared.

　　　　　　　　　　　　　　　　Chapter 7 Committees

Article 30: In order to organize research meetings, workshops, and conferences, the governing board can set up the program committee, whose members shall be chosen by the governing board from the regular members of the JADE. Detailed rules on the activities of the program committee shall be determined separately.

Supplementary Provisions:
This bylaw shall come into effect as from March 1, 2019.
